BookaTherapy Inc. ("BookaTherapy" or "Company")
[Your Clinic] ("Partner Clinic" or "Clinic")
1. Purpose
This agreement outlines the operational terms and collaboration framework between BookaTherapy and the Partner Clinic for the delivery and management of client bookings, communications, and service fulfillment, in compliance with applicable privacy laws, including HIPAA.
2. Scope of Services
This agreement governs:
- Client scheduling, intake, and communication via the BookaTherapy platform
- Shared access to client forms and service notes for treatment delivery
- Marketing, billing coordination, and customer support communications
- Coordination of ancillary services offered by the Clinic
3. Partnership & Revenue Sharing
Revenue Sharing Terms
- The Partner Clinic shall retain 85% of the Base Service Fee, along with 100% of upsells and tips, minus applicable Processing and Service Fees.
- BookaTherapy shall be entitled to 15% of the Base Service Fee, plus any applicable Service and Processing Fees, for each Successful Booking.
Alternate Payment Scenario – Direct Clinic Collection
- If the Partner Clinic collects client payment directly (outside BookaTherapy's payment gateway), the Clinic agrees to remit 15% of the Base Service Fee, plus any agreed-upon Service and Processing Fees, to BookaTherapy within seven (7) calendar days of the completed session.
Payment Processing & Remittance
- Where BookaTherapy processes payments, disbursements to the Partner Clinic shall occur daily, with BookaTherapy's portion and fees automatically deducted.
- Payment methods and schedules are subject to processing timeframes set by the third-party payment gateway provider.
4. Responsibilities
BookaTherapy Inc.
- Provides a secure booking platform with access-controlled PHI data views.
- Offers HIPAA training resources and technology support to clinics.
- Ensures platform uptime, security measures, and user access control.
Partner Clinic
- Delivers all clinical services and is solely responsible for clinical outcomes.
- Manages treatment notes and client interactions within HIPAA and platform rules.
- Ensures all personnel are trained in HIPAA and agree to data use protocols.
- Retains full liability for incidents, care outcomes, and regulatory violations.
5. HIPAA Compliance
The Partner Clinic and BookaTherapy agree to execute a separate HIPAA Business Associate Agreement (BAA) detailing respective obligations regarding Protected Health Information (PHI).
This collaboration agreement defers HIPAA-specific legal obligations to that BAA.
6. Client Data & Confidentiality
- Clinic may access client data only for service delivery, not for unrelated marketing.
- All electronic communications must use secure, encrypted channels.
- Data breaches must be reported to BookaTherapy within 24 hours.
7. Liability & Indemnification
BookaTherapy is not liable for care quality or outcomes—this is the Clinic's sole responsibility.
The Clinic shall indemnify and hold harmless BookaTherapy from any claims or damages arising from:
- Negligent care or malpractice
- HIPAA violations by the Clinic or its staff
- Data misuse or unauthorized disclosures
8. Compliance & Quality Assurance
BookaTherapy may request evidence of HIPAA training or data protocols from the Clinic at any time.
Verified non-compliance may lead to suspension or termination from the platform.
9. Termination
Either party may terminate with 30 days' written notice.
BookaTherapy may terminate immediately for:
- Serious HIPAA or platform violations
- Repeated, substantiated client complaints
- Misuse of client or platform data
10. General Terms
This agreement is non-exclusive and does not establish an employment or joint venture relationship.
This document may be updated annually with mutual consent.
